DeeTV Advertising Terms and Conditions
This agreement is made between DEETV “the Service Provider” and “the Advertiser” in order to enable the service provider to place advertising and promotional content on behalf of the advertiser on the DEETV internet TV distribution website.
The responsibilities of each party are set out in this document,which takes precedence over any verbal agreement or other discussion between the parties, unless confirmed in writing by both parties. Nothing in this agreement shall replace or take precedent over English Law.
The “Service Provider” means: DeetTV Ltd or www.deetv.tv which is the official DeeTV Ltd website.
The “Advertiser” means: the person, company or anyone acting formally on behalf of the person or company placing an advertisement with DeeTV Ltd. on the domain www.deetv.tv or any other site owned by DeeTV Ltd
Obligations of the Service Provider:
The Service Provider shall take the content provided by the advertiser and publish it on the Services Provider’s website so that it is viewable by any third party, subject to the broadcast schedule which forms an annex to this agreement.
The Service Provider shall keep a record of the content provided and of the times and durations of broadcast of the content.
The Service Provider is not obliged to verify the legality, taste or suitability of the content provided by the advertiser, but under the terms of this agreement may reject content if it is considered to be in any way unsuitable.
The Service Provider agrees to broadcast the advertiser’s content and shall keep a record of the content and times/durations of broadcast in a form that may be verified by a third party on request. Verification by a third party shall require the consent of the service provider and the advertiser, and that consent shall not be unreasonably withheld. Records shall be maintained for as long as the agreement between advertiser and service provider remains in force, and for a period of not less than 12 months thereafter.
The Service Provider may, at the request of the advertiser, edit, add to, create or otherwise customise content for use by the advertiser. If the cost of any such creative services is met by the advertiser then the resultant content shall be owned by the advertiser who shall grant a free license to the service provider to use it.
The Service Provider shall not publish, broadcast or otherwise distribute the advertisers content by any other means than the DEETV Internet TV , except as far as is foreseen by this agreement.
The Service Provider shall assume all responsibility in meeting legal, regulatory and licensing requirements which are necessary to broadcast and/or publish the content provided by the advertiser. The costs, if any, in meeting such requirements shall be included within the fees charged by the service provider.
Obligations of the Advertiser
The term “link” or “links” hereafter also referred to as “URL” or “URLs” means the Uniform Resource Locater or Universal Resource Locater needed to connect an advertisement on Deetv.tv with an external website or domain. All URLs – whether external or internal – to be attached to any advertisement supplied by the Advertiser and promoted on DeeTV are the sole responsibility of the Advertiser. DeeTV is not responsible for URLs that do not work or that point to another domain rather than the domain expected by the Advertiser. The Advertiser must in all circumstances send in writing the URL they wish their advertisement to link to. DeeTV Ltd. will do all it can to make sure the provided URL is the same URL used on deetv.tv. The Advertiser is responsible for checking and verifying that the URL they have supplied is linked to the domain they expect once their advertisement goes live. These URLs are added to the Advertiser’s advertisement for the convenience and to provide further information to and for the general public. They do not signify that DeeTV Ltd or any company or website owned by DeeTV Ltd. endorse the linked website(s). DeeTV Ltd. assumes no responsibility for the content of the linked website(s).
The Advertiser shall provide the content in a mutually acceptable format for broadcast.
The Advertiser shall assume all legal responsibility for the nature of the content, including all intellectual property aspects (copyright, trade marks, performing rights, etc). The advertiser shall indemnify the service provider against any claim for breach of copyright or claim for royalty payments in respect of content provided.
The Advertiser agrees that it is acting on his own behalf or equally on behalf of any of its own clients.
The Advertiser shall not make its content available to any third party organisation intending to offer a similar and competing service to the Service Provider, without the agreement of the Service Provider.
The Advertiser shall take all reasonable steps to assure the service provider that the content is suitable for public broadcast and does not breach any laws in relation to discrimination (age, race, ethnic origin, religion or sexuality), does not breach guidelines issued by the Advertising Standards Agency or other public body, or otherwise give cause for offence to the general public. No content shall be provided by the advertiser which is unsuitable for distribution to the general public of any age group, including minors.
Any content provided by the Advertiser which requires or invites members of the general public to contact the advertiser by phone, web access or any other publicly available communications medium shall highlight the cost (if any) which might be incurred.
Each party agrees not to publish or pass to any third party any content or other material which is identified by the originator as commercially sensitive (such as costs, licensing terms, or any other proprietary information) which is marked as such. This shall apply for the duration of the agreement and for a period of 2 years after the expiry of the agreement.
The advertiser shall pay the service provider in accordance with the price schedule and payment terms in DeeTV’s Advertising Price Guide in relation to this agreement.
This agreement shall remain in force for 12 months from the date of signature, unless otherwise terminated, and is renewable on an annual basis on mutually acceptable terms.
This agreement shall remain in force until either (a) the expiry date is reached or (b) terminated by mutual agreement between the parties or (c) terminated by either party being in default.
In the event of default of either party, both parties shall make all reasonable endeavours to remedy the default without delay. In the event of irreconcilable differences, an independent arbitrator shall be appointed, with each party bearing its own costs.
